1. Agreement to Terms
These Terms of Service ("Terms") are a binding legal agreement between you ("User," "you," or "your") and Incentrex, Inc., ("Company," "we," "us," or "our"). All leases of our downloadable products are final unless otherwise stated. Refunds, if offered, are at our sole discretion.

- Your license to use the software will immediately cease
- You must delete all copies of the software from your devices
- Any provisions that by their nature should survive (e.g., indemnity, disclaimers, limitations of liability) will remain in effect
9. Disclaimer of Warranties
THE SERVICE AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Incentrex, Inc., SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Incentrex, Inc., its officers, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your infringement of any third party rights
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Vermont, without regard to conflict of laws principles. Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in Chittenden County, Vermont. You agree to submit to the jurisdiction of such courts.
13. Modifications
We reserve the right to change these Terms at any time. If we do, we will update the “Effective Date” and post the revised Terms on our website. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.
